Buhoo Ambassador Program - Terms & Conditions

Welcome to the Buhoo Ambassador Program! We are thrilled to partner with creators and coffee lovers like you. This document outlines the terms and conditions ("Agreement") of our partnership. By applying to and participating in the Buhoo Ambassador Program ("Program"), you ("Ambassador," "you") agree to comply with this Agreement.

 

1. Application & Acceptance

 

Buhoo Coffee reserves the right to re-evaluate or reject your application at our sole discretion. We may cancel your application or terminate your participation at any time if your platform is determined to be in conflict with our brand values, for reasons including, but not limited to, violations of the Ambassador Code of Conduct (Section 2).

 

2. Ambassador Code of Conduct & Content Standards

 

To maintain a positive and inclusive community, Ambassadors may not engage in or promote content that:

  • Promotes sexually explicit materials, violence, or illegal activities.

  • Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

  • Is in any way unlawful, harmful, defamatory, obscene, harassing, or otherwise objectionable to us in our sole discretion.

  • Contains any misleading or unsubstantiated claims about Buhoo Coffee products.

  • Fails to comply with all applicable advertising standards, including by using clear and conspicuous disclosures such as #ad, #sponsored, or #BuhooPartner at the beginning of any promotional post or caption.

Violation of this code of conduct is a material breach of this Agreement and will result in immediate termination and forfeiture of any outstanding commissions.

 

3. Brand Representation & Promotion Guidelines

 

  • Brand Impersonation: You may not create or design any platform you operate in a manner that explicitly or implicitly resembles Buhoo Coffee's branding, leading customers to believe you are an official representative. You must clearly identify yourself as an independent "Buhoo Ambassador."

  • Prohibited Advertising Methods: The following are strictly prohibited:

    • Any form of "spam," including unsolicited mass emails or messages.

    • Paid ad promotions (e.g., Google Ads) that bid on "Buhoo Coffee" or any of our branded keywords.

    • Paid ad promotions that bid on competitor trademarks for the purpose of directing traffic to promote Buhoo Coffee.

    • Purchasing a domain name that includes "Buhoo" or any variations thereof.

 

4. Qualifying Referrals

 

For a sale to be eligible for a commission, the purchase must be made through the Ambassador's unique affiliation link or by using their unique affiliation code at checkout. A referral will be credited to the Ambassador if the referred customer completes their first purchase within 30 days of clicking the unique affiliation link (the "Cookie Period"), provided they have not subsequently clicked another Ambassador's link.

For clarity, we are unable to manually apply commissions after a transaction is completed. Referrals are not valid on purchases made by the Ambassador for personal use.

 

5. Commission Structure & Payouts

 

  • Commission Rates:

    • New Customers: 15% commission on the first purchase.

    • Returning Customers: 5% commission on subsequent purchases.

    • Subscriptions: Commission on the initial purchase plus the next four (4) recurring payments, for a total of five (5) commissionable orders. Commissions are paid on the first five consecutive subscription payments processed. A customer pausing their subscription does not extend the five-payment commissionable period.

  • Minimum Payout Threshold: Commission payments under $20 CAD will be rolled over to the following month.

  • Returns & Voids: A commission is earned only on a completed purchase that is not returned. We reserve the right to hold commission payments until the 30-day return period has passed.

 

6. Program Termination

 

Buhoo Coffee reserves the right to terminate your participation at any time, with written notice.

  • Termination for Cause: If terminated for a violation of this Agreement, any pending commissions will be forfeited.

  • Termination without Cause: If terminated by Buhoo for any other reason, you will be paid any outstanding commissions legitimately earned prior to the termination date.

 

7. Relationship of the Parties

 

You are participating in the Program as an independent contractor. This Agreement shall not be construed to create any partnership, joint venture, agency, or employment relationship. You are solely responsible for all your own taxes and statutory obligations.

 

8. Intellectual Property License

 

By creating content that features Buhoo Coffee products ("Content"), you grant Buhoo Coffee a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and display such Content in any and all media for marketing purposes.

 

9. Indemnification

 

You agree to indemnify, defend, and hold harmless Buhoo Coffee from any and all claims, liabilities, and expenses (including reasonable legal fees) arising out of your actions or your breach of this Agreement.

 

10. Limitation of Liability

 

Buhoo Coffee's aggregate liability arising from this Agreement will not exceed the total commissions paid or payable to you in the six (6) month period preceding the event giving rise to the claim.

 

11. Confidentiality

 

You may be given access to non-public information about Buhoo Coffee, including upcoming products or promotions ("Confidential Information"). You agree not to disclose this Confidential Information to any third party until it has been made public by Buhoo Coffee.

 

12. Data Privacy

 

You agree to comply with all applicable data privacy and protection laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), in your performance of this Agreement. You shall not collect any personal information from your audience in a manner that would violate such laws.

 

13. Governing Law & Dispute Resolution

 

This Agreement is governed by the laws of the Province of Ontario. The parties agree to first attempt to resolve any dispute arising from this Agreement through good-faith negotiation. If a resolution is not reached within 30 days, the parties agree to proceed to mediation before initiating any litigation in the courts of Toronto, Ontario.

 

14. Agreement Subject to Change

 

Buhoo Coffee reserves the right to modify these Terms & Conditions. We will provide you with at least thirty (30) days' notice of any material changes via email. Your continued participation in the Program after this notice period will constitute your binding acceptance of the changes.
